Job Purpose: The Company Secretary is responsible for managing the full statutory and regulatory compliance function for a portfolio of clients within the firm. The role ensures that all company secretarial obligations are met in accordance with the Companies Act 71 of 2008, Companies and Intellectual Property Commission (CIPC) requirements, and other applicable legislation, while supporting the firm’s commitment to high professional and regulatory standards.

Key Responsibilities:
Client Portfolio Management:
- Manage and maintain the company secretarial and statutory compliance requirements for a portfolio of corporate clients.
- Act as the primary contact for clients on company secretarial and statutory matters.
- Provide guidance to clients on corporate governance and statutory obligations.
Statutory Compliance:
- Prepare and submit all statutory filings with the Companies and Intellectual Property Commission (CIPC), including but not limited to:
- Annual returns
- Director appointments and resignations
- Share transfers and allotments
- Amendments to company records
- Changes to registered office or company details
- Ensure companies comply with requirements of the Companies Act 71 of 2008 and related regulations.
Corporate Governance:
- Prepare board resolutions, Special Resolutions, minutes, and other corporate documentation.
- Maintain and update statutory registers and company records.
- Ensure proper maintenance of company secretarial files and documentation.
Company Amendments and Registrations:
- Handle company formations, conversions, and deregistration’s.
- Process name changes, MOI amendments, share restructures, and other corporate actions.
Regulatory Compliance:
- Monitor regulatory deadlines and ensure timely submission of statutory documentation.
- Assist with compliance relating to beneficial ownership and regulatory disclosures where required.
- Manage the firms internal FICA regulatory requirements.
- Assist with compliance relating to PAIA and POPIA.
Internal Coordination:
- Liaise with partners, auditors, tax practitioners, and accounting staff within the firm to ensure integrated service delivery to clients.
- Maintain accurate compliance tracking systems and ensure proper documentation for audit or regulatory review.
Minimum Requirements:
Qualifications:
- Relevant tertiary qualification in Company Secretarial Practice, Corporate Governance, Law, Accounting, or a related field.
Experience:
- Minimum 3 years’ relevant company secretarial experience in a professional firm of chartered accountants, auditors, or corporate service providers.
- Demonstrated experience managing a portfolio of clients and full CIPC compliance processes.
Technical Knowledge:
- Strong working knowledge of the Companies Act 71 of 2008 and corporate compliance requirements.
- Experience with Companies and Intellectual Property Commission (CIPC) e-services and filings.
- Understanding of corporate governance principles and statutory record keeping.
